1 Definitions

In these Terms:

• "Company," "we," "us," "our" means Inspire Growth Ventures LLC, operating as Troovara at troovara.com.
• "Products" means the digital workbooks, PDF toolkits, and related digital content sold on troovara.com.
• "Customer," "you," "your" means any person who purchases or downloads a Troovara product.
• "Content" means all text, images, graphics, and other material contained in Troovara products.
• "Personal Use" means use by a single individual for their own non-commercial benefit.

2 Acceptance of Terms

By completing a purchase on troovara.com, you confirm that you:

• Are at least 18 years of age, or have parental or guardian consent;
• Have read, understood, and agreed to these Terms of Service;
• Have read and understood our Privacy Policy and Refund Policy;
• Have the legal capacity to enter into a binding agreement.

These Terms constitute a legally binding agreement between you and Inspire Growth Ventures LLC.

3 Products & Availability

3.1 Digital products

All Troovara products are digital goods delivered as PDF files. We do not sell physical products. There is no shipping of physical items.

3.2 Product descriptions

We make reasonable efforts to accurately describe our products. All product descriptions, page counts, framework descriptions, and statements about clinical basis are accurate to the best of our knowledge and are updated when products are revised.

3.3 Availability

We reserve the right to modify, update, discontinue, or remove products from our catalogue at any time. If a product you have purchased is materially altered or discontinued, your licence to the version you purchased remains valid. We will not retroactively remove access to products already purchased.

3.4 Product updates

We periodically update and improve our products. Significant updates to existing products may be made available to prior purchasers at our discretion. We are not obligated to provide updates but aim to do so as a courtesy where improvements are substantial.

4 Pricing & Payment

4.1 Currency

All prices are displayed and charged in US Dollars (USD) unless otherwise stated. If your bank account or card is in a different currency, your bank or card issuer will apply their applicable exchange rate, which is outside our control.

4.2 Pricing accuracy

We make every effort to display accurate prices. In the event of a pricing error on our website, we reserve the right to cancel an order placed at the incorrect price and offer the correct price instead. We will notify you before any charge is processed.

4.3 Payment processing

Payments are processed by third-party payment processors (including Stripe and/or PayPal). By making a purchase, you agree to their applicable terms of service. We do not store your full payment card details.

4.4 One-time purchases

All Troovara products are one-time purchases. There are no subscriptions, memberships, or recurring charges of any kind. Your card will be charged once per order. The All-Access Pass is also a one-time charge that grants lifetime access.

4.5 Taxes

Prices displayed on troovara.com may or may not include applicable sales tax, VAT, or GST depending on your jurisdiction. Any applicable taxes will be displayed at checkout before you confirm your purchase. You are responsible for any local import duties or taxes that may apply in your jurisdiction.

5 Licence Grant

5.1 Personal use licence

Upon purchase and payment, Inspire Growth Ventures LLC grants you a non-exclusive, non-transferable, royalty-free licence to download, store, and use the purchased product for your personal, non-commercial use only.

5.2 Permitted uses

• Printing the product for your own personal use
• Saving the product on your personal devices
• Using the product in digital annotation apps (GoodNotes, Notability, etc.) for personal use
• If you are a licensed therapist, counsellor, or health professional, using the product with your individual clients in one-to-one sessions (not for class distribution or commercial resale)

5.3 Prohibited uses

See Section 6 for a full list of prohibited uses.

5.4 No ownership transfer

Purchase of a Troovara product does not transfer ownership of the underlying content, intellectual property, or copyright to you. You receive a licence to use the product, not ownership of it.

6 Prohibited Uses

You may not, without prior written permission from Inspire Growth Ventures LLC:

• Resell or redistribute Troovara products, in whole or in part, for payment or otherwise
• Share download links with others who have not purchased the product
• Upload products to file-sharing platforms, cloud storage accessible to others, or any public medium
• Modify or create derivative works from Troovara products with the intent to distribute or sell
• Remove copyright notices or other proprietary marks from any product
• Use products for commercial purposes, including selling them as part of a course, coaching programme, or business service, without a commercial licence agreement with us
• Misrepresent Troovara products as your own work or as created by a third party
• Print and distribute products to groups, classes, or organisations without a group licence

Violation of these prohibited use terms may result in termination of your licence and may give rise to claims for copyright infringement and damages under applicable intellectual property law.

7 Intellectual Property

All Troovara products, including all text, design, graphics, frameworks, methodologies, and other content, are the proprietary intellectual property of Inspire Growth Ventures LLC and/or its licensors.

The Troovara name, logo, and brand identity are trademarks of Inspire Growth Ventures LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, or brand features without our prior written consent.

If you believe that any content on our website or in our products infringes your intellectual property rights, please contact us at hello@troovara.com with details of the alleged infringement.

The clinical frameworks referenced in our products (DBT, CBT, EFT, Polyvagal Theory, etc.) are evidence-based therapeutic approaches that are not proprietary to Troovara. Our proprietary contribution is in the specific expression, design, worksheets, and self-guided application of these frameworks.

8 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TROOVARA PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our products will meet your specific needs or therapeutic goals
• The results obtained from using our products will be accurate or reliable for your particular circumstances
• Any errors in the products will be corrected (though we endeavour to correct errors promptly when identified)

Some jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, some of the above exclusions may not apply to you.

9 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSPIRE GROWTH VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of, or inability to use, our products;
• Any content obtained from our products;
• Unauthorised access to or alteration of your data;
• Any other matter relating to our products.

In no event shall our total liability to you for all claims arising from or relating to your use of Troovara products exceed the amount you paid for the specific product giving rise to the claim, or USD $100.00, whichever is greater.

Some jurisdictions do not allow limitations of liability for certain types of damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you, and nothing in these Terms limits your statutory rights.

10 Mental Health Disclaimer

By purchasing and using Troovara products, you acknowledge that you are doing so voluntarily, that you take responsibility for how you engage with the content, and that you understand these products are not professional therapy or medical treatment.

Inspire Growth Ventures LLC is not liable for any adverse outcomes arising from your use of our products. If you have concerns about your mental health, please consult a qualified professional.

11 Indemnification

You agree to indemnify, defend, and hold harmless Inspire Growth Ventures LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your violation of any third party's rights, including intellectual property rights;
• Your use of Troovara products in a manner not authorised by these Terms.

12 Dispute Resolution

12.1 Informal resolution

Before initiating any formal legal proceedings, we ask that you contact us at hello@troovara.com to attempt to resolve any dispute informally. Most issues can be resolved quickly and without formal process.

12.2 Binding arbitration (US customers)

For customers located in the United States, any dispute arising from or relating to these Terms or your use of Troovara products that cannot be resolved informally shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware, or by telephone or written submissions, at your option. The arbitrator's decision shall be final and binding.

Class action waiver: You agree to resolve any disputes on an individual basis and not as part of a class action or representative proceeding.

12.3 EU/UK customers

If you are located in the European Union, you may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Our email for ODR purposes is hello@troovara.com.

Nothing in these Terms prevents you from bringing a claim before the courts of your country of residence or habitual establishment if required by mandatory consumer protection law in your jurisdiction.

13 Governing Law

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

This choice of governing law does not affect any mandatory consumer protection rights you have under the laws of your country of residence. If you are a consumer in the EU, UK, or Australia, the mandatory consumer protection provisions of your local law continue to apply regardless of this clause.

14 Changes to These Terms

We may revise these Terms of Service at any time. When we do, we will update the "Last updated" date at the top of this page. If we make material changes, we will notify you by email or by a prominent notice on our website prior to the changes taking effect.

Your continued use of our website or purchase of products after revised Terms have been posted constitutes your acceptance of those revised Terms.
